Terms of Service for LintGRC

Welcome to LintGRC. By accessing our platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By using LintGRC, you represent that you are authorized to enter into this agreement and that you agree to abide by these terms. If you do not agree, please do not use the platform.

2. Services Provided

LintGRC provides compliance toolkits, templates, and resources for Governance, Risk, and Compliance (GRC) management. We provide these materials for informational and professional use only. We do not provide legal, audit, or professional advisory services. Your use of our tools does not establish an attorney-client, auditor-client, or consultant-client relationship.

Template Usage Disclaimer: LintGRC toolkits are designed to help you manage your own compliance obligations. You are solely responsible for how you implement, customize, and use the templates. We do not guarantee that our resources will satisfy your specific regulatory requirements or pass an audit without additional review.

3. Account & Access

If you create an account or purchase a toolkit, you agree to provide accurate information and maintain the security of your credentials. You are responsible for all activity under your account. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Intellectual Property

All LintGRC toolkits, templates, documentation, and website content are the intellectual property of LintGRC. You may use purchased templates for your internal compliance purposes, but you may not resell, redistribute, or publicly republish our materials without explicit written permission.

5. Informal Negotiation & Dispute Resolution

In the event of a dispute, you and LintGRC agree to first engage in 30 days of informal good-faith negotiations to resolve the issue. If the dispute is not resolved, it shall be settled by binding arbitration in accordance with the commercial rules of the American Arbitration Association.

6. Arbitration and Venue

Arbitration: Any arbitration will take place in California.
Fees: LintGRC agrees to pay the costs of arbitration unless the arbitrator determines your claim is frivolous.
Litigation: If a dispute proceeds in court, the venue shall be the courts of California.

7. Limitation of Liability

To the maximum extent permitted by law:

LintGRC’s total aggregate liability for any claims arising out of or related to these terms shall be limited to the lesser of:

  • The total fees paid by you to LintGRC in the 12 months preceding the claim; or
  • $5,000 USD.

This limitation applies to all claims in the aggregate. We are not liable for any indirect, incidental, or consequential damages (such as loss of profits, data, or business opportunities). This cap does not apply to cases of gross negligence, willful misconduct, or violations of applicable data protection laws.

8. Statute of Limitations

You agree that any cause of action arising out of or related to LintGRC must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

9. Changes to Terms

We may update these terms occasionally. We will notify you of material changes via email or a prominent notice on our website. Your continued use of the platform after such notice constitutes your acceptance of the updated terms.

10. No Warranty

The platform and toolkits are provided “as is” and “as available.” While we strive for accuracy and relevance, we make no warranties that the tools, templates, or resources will meet your specific compliance requirements, be error-free, or remain up-to-date with evolving regulations. You are responsible for verifying all compliance outputs with your own qualified legal counsel and internal risk teams.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your right to access and use the toolkits ceases immediately. Sections on Intellectual Property, Limitation of Liability, Dispute Resolution, and Statute of Limitations survive termination.
